Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

Appointment of New Directors

On February 25, 2010, the Board of Directors (the “Board”) of Domino’s Pizza, Inc. (the “Company”) appointed J. Patrick Doyle, the Company’s Chief Executive Officer elect, to serve as a Director on the Board, effective February 25, 2010, and also appointed James A. Goldman and Gregory A. Trojan to serve as Directors on the Board, effective March 1, 2010. Messrs. Doyle, Goldman and Trojan were appointed on the recommendation of the Nominating and Corporate Governance Committee of the Board and will be up for election for continued service as a Director on the Board at the Company’s 2010 Annual Meeting of Shareholders.

Mr. Goldman currently serves as President and CEO of Godiva Chocolatier Inc. since 2004 and served as President of the Foods and Beverages Division at Campbell Soup Company from 2001 to 2004. Mr. Trojan has served as President and Chief Operating Officer at Guitar Center Inc. since 2007 and served as President and CEO of House of Blue Entertainment Inc. from 1996 to 2006.

In conjunction with their appointment to the Board, On March 1, 2010, Messrs. Goldman and Trojan each received 6,000 stock options and 6,000 shares of restricted stock, under the same terms and conditions as standard equity grants to Independent Directors of the Company. In addition, Messrs. Goldman and Trojan will receive compensation for their service on the Board in accordance with the Compensation for Directors disclosure contained in Exhibit 10.52 to the Company’s Annual Report on Form 10-K filed March 2, 2010.

Domino’s Pizza Names James A. Goldman to Its Board of Directors

 

Ann Arbor, Mich. (March 2, 2010) – Domino’s Pizza (NYSE: DPZ), the recognized world leader in pizza delivery, has named Jim Goldman to its Board of Directors, effective March 1, 2010.

Since 2004, Mr. Goldman has served as president and CEO of Godiva Chocolatier Inc., based in New York City. He was president of the Foods and Beverage Division at Campbell Soup Company from 2001 to 2004. He worked in various executive positions at Nabisco Inc. from 1992 to 2000. Prior to his work at Nabisco Inc., Mr. Goldman was a senior consulting associate at McKinsey & Co.

We are extremely fortunate to have Jim joining us as a new member on our Board,” said David A. Brandon, Domino’s Chairman. “His previous board experience and innovative business sense will be a tremendous resource to us as we move forward. He adds strength to our already top-notch team.”

Mr. Goldman earned his MBA from the Johnson School of Management at Cornell University in 1985 and holds a bachelor’s degree from Dartmouth College. He served as a member of the Board of Directors at The Children’s Place Retail from 2006 to 2008, on the Compensation Committee. He also served on the Board of Trustees at the YMCA Camps Becket and Chimney Corners in Becket, Mass., from 1992 to 1998.

Domino’s Pizza Names Gregory A. Trojan to Its Board of Directors

 

Ann Arbor, Mich. (March 2, 2010) – Domino’s Pizza (NYSE: DPZ), the recognized world leader in pizza delivery, has named Gregory A. Trojan to its Board of Directors, effective March 1, 2010.

Since 2007, Mr. Trojan has served as president and chief operating officer at Guitar Center, Inc., the leading United States retailer of guitars, amplifiers, percussion instruments, keyboards and pro-audio and recording equipment, based in Westlake Village, Calif. From 1996 to 2006, he was president and CEO of House of Blues Entertainment, Inc. Mr. Trojan served as CEO of California Pizza Kitchen for two years while at Pepsico Inc., and held various positions within Pepsico from 1990 to 1996. Prior to that, he was a consultant at Bain & Company, the Wharton Small Business Development Center and Arthur Andersen & Co.
