Explanation of Responses:

1. This report is being filed to identify Mr. Domenic J. Ferrante as the sole managing member of Brookside Capital Management, LLC ("BCM"), replacing Mr. Roy Edgar Brakeman as the sole managing member of BCM as reported on the initial Form 3 filed July 13, 2004, and subsequent Form 4's filed June 8, 2005 and June 13, 2005. Mr. Ferrante, as the sole managing member of BCM, BCM, as the sole general partner of Brookside Capital Investors, L.P. ("BCI"), and BCI, as the sole general partner of Brookside Capital Partners Fund, L.P. ("BCP"), may each be deemed to share voting and dispositive power with respect to the shares held by BCP. Mr. Ferrante disclaims beneficial ownership of such securities except to the extent of his pecuniary interest therein.
